　　為保證雙方的長期友好合作，維護甲、乙雙方的合法權益，經雙方協商一致，就專利申請權、專利權等其相關事宜達成如下協議內容：

　　To guarantee the long-term good relationship between Party A and Party B and protect legal benefits for both parties, through friendly negotiation, both parties have agreed to enter into this agreement under the terms as below:

　　一、本協議中所含部分名詞或者短語解釋如下：

　　Interpretation of Terms or expressions herein as below:

　　1. Definitions 定義

　　1.1本協議所稱專利：專指主合同存續期間產生的專利。

　　This agreement due to Patents, what mean the patents only produced during the validation period of the main contract.

　　1.2專利申請權：是指公民、法人或者其他組織依據法律規定或者合同約定享有的就發明創造向國家相關部門提出專利申請的權利。

　　The right to apply for patents: It means the individual, legal person or other entity have the right to submit the patent application to the related national departments on invention & innovation in accordance with the related law and regulation or the contract terms.

　　1.3專利權：國家有關部門授予專利權人在一定期限內生產、銷售或以其他方式使用專利的排他權利。專利分為發明、實用新型和外觀設計三種。

　　Patent right: It is an exclusive right granted to the patentee by the related national department to have right of exploit the patent by means of manufacturing, sale or other ways in a given period. It includes invention patent, utility model patent and design patent.

　　1.4專利使用權：是指公民、法人或者其他組織依據法律規定或者合同約定在一定地域內一定期限內生產、銷售或以其他方式使用專利技術或者專利產品的權利。

　　Patent license right: It means individual, legal person or other entity have right to exploit the patent technology or patent product by means of manufacturing, sale or other ways in the specified regions in a given period according to the law & regulation or the contract terms.

　　二、甲乙在合作期間，雙方同意就產生的專利申請權和專利權的歸屬按照如下幾種方式確定：

　　During the period of cooperation, the division of ownerships of patent application right and patent right are decided in accordance with the following ways agreed by both parties.

　　2.1 符合以下情形的，專利申請權和專利權全部歸屬甲方：

　　The patent application right and patent right shall be owned by Party A in the following conditions:

　　(a)最初的創意來自甲方，并由甲方自主開發。

　　The original idea comes from Party A and realized by self-development of Party A

　　(b)最初的創意來自雙方討論的結果，甲方完成技術開發，并有圖紙或者樣機等技術載體。

　　The original idea comes from the conclusion after discussion between both parties. Party A completes technology development and possesses drawings and prototype etc. as technology carrier.

　　(c)最初的創意來自乙方，甲方完成技術開發，并有圖紙或者樣機等技術載體。

　　The original idea comes from Party B, but Party A completes the technology development and possesses drawings and prototype etc. as technology carrier.

　　(d)最初的創意來自乙方，乙方提供了技術意見、圖紙或者樣機等，甲方完成技術開發。

　　The original idea comes from Party B who has provided some technical suggestion, drawings or sample as well, but Party A completes the technology development.

　　(e)乙方完成技術開發，并有圖紙或者樣機等技術載體，甲方提醒其申請專利兩個月后，但其仍未向官方部門申請的，視為乙方放棄專利申請權以及所有的專利權，甲方獲得完全的專利申請權和專利權。

　　甲方隨后申請的，須告知乙方。甲方行使繼任的專利申請權時，須告知乙方。

　　Party B completed the technology development and possesses drawings and prototype etc. as technology carrier. If Party B has not submitted the patent application to the related official departments two months after being reminded by Party A. As Party B to give up the right to apply for a patent and all patent rights, Party A has the full right to apply this patent based on having Party B been notified.

　　(f)乙方不經甲方同意，自行將甲乙共有的專利申請權，以乙方名義申請專利或者自行將專利申請權轉讓、贈與給第三方的，視為乙方違約，甲方獲得完全的專利申請權和專利權。乙方行為造成甲方損失的，須向甲方賠償。

　　Party B shall breach the agreement If Party B applies the patent in his own name or assigns or bestows the patent application right owned by both parties to the third party without authorization of Party A, the ownership of patent application right and patent right will completely belong to Party A . Part B shall bear the loss caused to Party A.

　　(g)甲乙雙方共有的專利申請權，乙方不配合甲方完成專利申請，視為乙方放棄，甲方獲得獨有的專利申請權和專利權，甲方在成功獲得專利權后，可以補償乙方。

　　For the patent application right owned by both parties, if Party B does not cooperate with Party A to finish the patent application and it will be considered that Party B has given up the rights, Party A will completely own the ownership of patent application right & patent right. After being granted with this patent, Party A can compensate Party B.

　　2.2 符合以下情形的，專利申請權和專利權全部歸屬乙方：

　　The patent application right and patent right shall be owned by Party B in the following conditions:

　　乙方提供技術和圖紙，甲方未參與技術和圖紙修改，未參與修改完善，甲方未將圖紙或者樣機等技術載體化。

　　Party B provides technology and drawings while Party A has not participated in the improving of technology and the modification of drawings, in addition, Party A has not completed the technical carrier such as drawings or prototype etc.

　　2.3 符合以下情形的，專利申請權和專利權歸甲乙雙方共享，未經甲乙雙方同意，第三方不得享有專利申請權、專利權，不得使用該專利技術或者銷售該專利技術產品。

　　The patent application right & patent right shall be owned by both parties in the following conditions and the third party is not allowed to share the patent application right & patent right and can not exploit this patent technology or sale the patent product without consent of both parties.

　　(a)乙方提供草圖(草圖基本已能表現新穎、創造、實用性)，甲方修改完善，并由甲方完成圖紙或者樣機等技術載體。

　　Party B provides draft which has been basically novel, creative and practicable, Party A modifies the draft and makes it better, in addition, Party A completed the technical carrier such as drawings or prototype etc.

　　(b)乙方提供3D結構圖(3D結構圖基本已能表現新穎、創造、實用性)，甲方修改完善，并由甲方完成圖紙或者樣機等技術載體。

　　Party B provides 3D design drawing which has been basically novel, creative and practicable. Party A modifies and revises the draft, in addition, Party A completed the technical carrier such as drawings or prototype etc.

　　(c)依照2.2乙方獲得專利申請權后，在甲方提醒后2個月內，不提交專利申請的，視為乙方自動放棄獨有專利申請權和專利權，甲乙方共享有專利申請權和專利權。

　　After being granted with the patent application right according to 2.2, If Party B has not submitted the patent application to the related official departments two months after being reminded by Party A , it will be considered that Party B has given up the exclusive rights and shall share the patent application right and patent right with Party A.

　　2.4 符合2.1、2.3情形的，乙方在完成以下一項或多項行為后，可以獲得專利申請權和專利權：

　　Party B can acquire the patent application right and patent right after meeting the following one term or several terms in accordance with clause 2.1 & 2.3.

　　乙方向甲方一次性支付專利費為美元。

　　Party B pays the patent fee $ to Party A in one-time payment of royalties

　　單項專利買斷：乙方支付給甲方的專利費為：每項發明專利美元;

　　每項實用新型專利美元; 每項外觀設計專利美元。共計項專利;專利費共計美元。

　　Single patent buyout: The patent fee paid to Party A is as below: invention patent $ ; utility model patent $ ; design patent $ ; Total patents quantity: Total patents fee: .

　　單個產品攤銷：乙方支付給甲方的專利費為：以乙方生產產品或授權許可他人生產、銷售的產品數量為基數，向甲方支付每臺美元。

　　Amortization for individual product: Base on the quantity of product manufactured by Party B or manufactured or sold by other parties, Party B shall pay $ each unit to Party A.

　　乙方在專利產品化后的2年內，以各種方式銷售的專利產品數量達到超過萬臺;乙方支付給甲方的專利費為美元。

　　If the number of sales of patented products in various ways to reach more than units sold by Party B within 2 years after the patent product being produced, Party B shall pay the patent fee $ to Party A.

　　乙方在專利產品化后的'2年內，以各種方式銷售的專利產品金額達到超過美元;乙方支付給甲方的專利費為美元。

　　If the total amount of patented products sold by Party B in various ways to reach more than $

　　within 2 years after the patent product being produced, Party B shall pay the patent fee $

　　to Party A.

　　不論專利權歸屬甲乙方或甲乙任一方的，專利權人有義務持續保護專利的有效性、合法性，保護專利權利不受侵犯，專利權人自行承擔維護專利的持續有效性、合法性而產生的費用，專利共有的，雙方各自承擔50%的費用。

　　Whoever does the ownership of the patent right belong to, the patentee shall be responsible for protecting the patent’s validity and legality and preventing it from being infringed. In addition, Incurred expenses shall be borne by the patentee during the protection of patent’s validity and legality. If the patent right is jointly owned by both parties, both parties shall bear 50% of the total expenses respectively.

　　2.5 在專利申請權為甲乙方共有的情況下，第三方獲得專利申請權并獲得專利權的條件：

　　In event of the joint ownership of right to apply a patent, the third party can acquire the patent application right & patent right by meeting the following requirements .

　　□ 甲乙雙方同意;Approved by both parties

　　□ 乙方同意;Approved by Party B

　　□ 甲方同意;Approved by Party A

　　□ 在技術、方案等已具備申請專利的條件后的半年內，具有專利申請權的一方在另外一方的提醒下，無理由不辦理申請或不協助對方辦理申請的，致使專利權申請被擱置長達3個月。--在技術、方案等已具備申請專利的條件后的半年內，具有專利申請權的一方在另外一方的提醒下，無理由不辦理申請或不協助對方辦理申請的，致使專利權申請被擱置的連續期間長達3個月。

　　□ With patent-pending technology programs within six months, one is reminded of the other party, no reason not to apply or not to assist each other in the process of applying for, resulting in the patent application is on hold for up to a continuous period of up to three months

　　以上情形中，甲乙方與第三方須共同簽訂專利申請權轉讓合同且第三方對應支付甲乙方相關轉讓費用后，第三方才能獲得專利申請權。

　　In the above cases, both Party A and Party B shall sign the patent application right assignment contract with the third party jointly and the third party should obtain the right to apply for patent after the assignment fee being paid correspondingly.

　　三、專利使用權的特別約定：Special provisions of patent license right

　　3.1甲方申請專利并成功獲得專利權后：

　　3.1 After the application is approved and the patent right is granted to Party A

　　□ 乙方不享有使用權等任何權利;Party B is not allowed to have any patent rights including exploitation of the patent.

　　□ 乙方享有優先使用權：專利申請日前已經制造相同產品、使用相同方法或者已經作好制造、使用的必要準備，并且僅在原有范圍內繼續制造、使用;Party B has the priority to make use of the patent: Where, before the date of filing of the application for patent, any person who has already made the identical product, used the identical process, or made necessary preparations for its making or using, continues to make or use it within the original scope only;

　　□ 乙方享有無償使用權;Party B can exploit patent for free.

　　□ 乙方享有有償使用權，須選擇如下方式向甲方支付使用費用：Party B can have non-free right of exploitation of the patent conditionally and shall pay the licensing fee to Party A in below ways :

　　□ 支付甲方的許可使用費為：每項發明專利美元;每項實用新型專利美元;共項專利;共計專利費美元。The licensing fee paid to Party A is as below: invention patent $ ; utility model patent $ ; design patent $ ; Total patents quantity: . Total licensing fee:

　　□ 乙方在兩年內區域內獨占銷售專利產品數量為萬臺(不論最終是否達到此銷售數量)應向甲方支付每臺美元的專利使用費。超過此數量的，超出部分按照每臺美元向甲方支付專利使用費。

　　The number of the patented products sold in the by Party B is___ units within two years (Regardless of whether it reaches this sales volume),Party B shall pay the licensing fee $___of each product to Party A. The sales number exceeds this sales volume, Party B shall pay the licensing fee $___of each product to Party A.

　　兩年內，乙方銷售專利產品數量不能達到以上標準的，甲方可無條件收回乙方的專利使用權，乙方已支付的費用甲方不予退回。

　　The number of patented products sold by Party B can not meet the above criteria within two years, unconditionally patent rights shall be withdrawn from Party B by Party A, And patent fee paid by Party B to Party A shall not be refundable.

　　乙方有償使用專利權的，費用具體支付方式約定如下：

　　Party B can have a non-free right of exploitation of the patent conditionally and shall pay the licensing fee to Party A in below ways:

　　3.2乙方申請專利并成功獲得專利權后：

　　After the application is approved and the patent right is granted to Party B

　　□ 甲方不享有使用權等任何權利;Party A is not allowed to have any patent right including the right of exploitation of the patent.

　　□ 甲方享有優先使用權;Party A has the priority right of exploitation of the patent.

　　□ 甲方享有無償使用權;Party A has a free right of exploitation of the patent.

　　□ 甲方享有有償使用權，支付給乙方的許可使用費為：每項發明專利美元;每項實用新型專利美元;共項專利;共計專利費美元。

　　Party A can have a non-free right of exploitation of the patent conditionally, the licensing fee paid to Party B is as below: invention patent $ ; utility model patent $ ; design patent ; Total patents quantity: . Total licensing fee

　　甲方有償使用專利權的，費用支付方式約定如下：

　　Party A can have a non-free right of exploitation of the patent conditionally and shall pay the licensing fee to Party B in below ways:

　　3.3在專利權為甲乙方共有的情況下，第三方只能有償獲得專利使用權，其條件為：

　　The third party can only obtain the non-free patent right conditionally if the patent right is jointly owned by both Party A and Party B. The conditions are as below:

　　□ 甲乙雙方同意;Approved by both parties

　　□ 乙方同意;Approved by Party B

　　□ 甲方同意;Approved by Party A

　　□ 在甲乙方獲得專利權后的兩年內，任一方未實施專利。

　　Neither Party A nor Party B has implemented patent two years after granted patent right.

　　第三方獲得專利使用權的，甲乙方須與第三方共同簽訂專利許可使用合同并報政府相關部門備案，否則，許可使用無效。

　　If the third party obtain the right of patent licence ，both Party A and Party B shall sign the patent licensing contract with the third party and the contract should be reported to the related official departments for record. Otherwise, the patent license right will be invalid.

　　第三方有償使用專利權的，費用支付方式按照三方簽訂的專利許可使用合同約定進行。

　　The method of payment of the licensing fee shall be specified in the contract signed by three parties and be implemented by the third party who has the non-free right of exploitation of patent.

　　四、違約責任 Responsibility of breaching the agreement

　　4.1，違反上述雙方關于專利申請權和權利權、專利使用權的任一規定，應向對方支付違約金50萬美元，如違約金不足補償損失的，還應賠償損失，此損失分為直接損失及間接損失，包括但不限于對方失去的利潤、市場份額的喪失、品牌損失、重新開拓市場的費用等。

　　The party who breaches any clauses of this agreement shall reimburse $500，000 to the counter party as compensation. If the compensation can not recoup the loss, Defaulting party shall bear the responsibility to compensate the direct & indirect loss, including, without limitation, lost margin, market share, reputation and cost for redevelop the market etc.

　　4.2 在專利合法有效存續期間，專利被他人侵權或者被認定為最終無效的，由此造成他方損失，由專利權人承擔。

　　During the validation period of the patent, the loss caused to other parties shall be borne by patentee if the patent has been infringed or been identified as the ultimate invalid.

　　共有專利被他人侵權或被認定無效造成他方損失的，專利權人各按50%比例承擔。

　　If the patent has been infringed or been identified as the ultimate invalid. 50% of the total loss caused to other parties should be borne by both patentees respectively who jointly owned the patent

　　4.3 一方違約的，另一方有權立即解除本協議，并同時解除主合同，依法追究違約方責任。

　　If one party breaches the agreement, the counter party has the right to terminate this agreement and the main contract immediately. Additionally, the responsibility of the defaulting party shall be prosecuted

　　五、其他約定 Other provisions

　　5.1 本協議與主合同有效期限一致。本協議失效、終止或解除后，雙方應承擔的專利保護義務，并不解除，仍然有效。

　　This agreement is with the same validation period of the main contract. The obligation of patent protection borne by both parties shall survive notwithstanding this agreement has been terminated or rescinded.

　　5.2 本協議未盡事宜雙方可另行協商簽訂補充協議，新簽訂的協議與本協議沖突的，以新協議內容為準。因履行本協議發生的爭議無法協商一致的，提交甲方所在地法院處理，并適用中國法律。

　　Other unmentioned terms can be specified in the supplementary agreement signed by both parties after consultation. If the supplementary agreement is in conflict with this agreement, the content in the supplementary agreement will be applied. If the dispute occurred during the implementation of this agreement can not be solved after consultation, the case will be submit to the people’s court of for solving and shall be governed by the laws of the People‘s Republic of China.

　　5.3 本協議一式兩份，甲乙雙方各執中、英文版本各壹份，具同等法律效力，中、英文版本如有沖突，以中文版本意思為準。本協議經雙方簽字、蓋章并于雙方所簽的主合同生效條件下生效，本協議中部分條款無效或失效，不影響協議中其他條款的有效性。

　　本協議一式兩份，甲乙雙方各執中、英文版本各壹份，具同等法律效力，中、英文版本如有沖突，以中文版文本解釋為準。本協議經雙方簽字、蓋章并于雙方所簽的主合同生效條件下生效，本協議中部分條款無效或失效，不影響協議中其他條款的有效性

　　This agreement is written in duplicate, each party respectively holds the Chinese & English versions, which are with the same legal binding force on both parties. If there is conflict between the Chinese version and English version, the explanation of the Chinese version will be applied. This agreement becomes effective after being signed & stamped by both parties based on the validation of the main contract and will be invalid if the main contract is out of validation.As part of the terms in this Agreement be or become invalid or null, does not affect the validity of the other terms of the agreement.

　　填寫指南：Guide for filling this agreement

　　1，主合同涉及產品型號沒有確定時，填寫預計可以確定的時間，并注明在該日期補充簽訂本協議。

　　If the product model involved in the contract has not been confirmed, fill a predicted confirmation date and mark the information of supplementing this agreement on that date.

　　2，主合同涉及專利(申請)號沒有獲得的，填寫預計可以獲得的時間，并注明在該日期補充簽訂本協議。

　　If the patent (application) number has not been acquired, fill a predicted confirmation date and mark the information of supplementing this agreement on that date.

　　3，發明創造的專利申請權和專利權全部歸屬甲方的情況，將2.1前的方框涂黑，然后按實際情形選擇涂黑2.1下面所列的一個或者一個以上方框。

　　If Party A owns the ownership of patent application right & patent right, blacken the square before clause 2.1 and then blacken one square or several squares listed below clause 2.1 according to the actual situation.

　　4，發明創造的專利申請權和專利權雙方共享的情況，將2.2前的方框涂黑，然后按實際情形選擇涂黑2.2下面所列的一個或者一個以上方框。

　　If the ownerships of patent application right & patent right belong to both parties, blacken the square before clause 2.2 and then blacken one square or several squares listed below clause 2.1 according to the actual situation.

　　5，發明創造的專利申請權和專利權全部歸屬乙方的情況，將2.3前的方框涂黑，然后按實際情形選擇涂黑2.3下面所列的一個或者一個以上方框

　　If Party B owns the ownership of patent application right & patent right, blacken the square before clause 2.3 and then blacken one square or several squares listed below clause 2.3 according to the actual situation.

　　6，選擇涂黑乙方支付給甲方專利費用，應后附《專利估值表》。一次性買斷，支付不低于專利估值的費用;單個產品攤銷：一次性買斷專利費用除以乙方承諾的某一周期內的銷售數量。(例：一次性買斷費用為10萬美元，客戶承諾一年內銷售5萬臺，每臺攤銷為100÷5=2美元。)

　　If Party B selects to pay the patent fee to Party A, the “Patent appraisement Table” shall be attached. If Party B selects to buyout the patent, he shall pay the patent fee no less than the appraisement; If Party B selects to amortize in each product, the fee shall be equal to the result of the total fee for buying the patent divides by the promised sales quantity in a given period. (For example: the total fee for buying the patent is $100,000, the promised sales quantity within one year is 50000 units, so the amortization for each product shall be as below: $100000/50000=$ 2)

　　7，選擇涂黑乙方承諾某一周期內(一般為兩年)的訂單量或者銷售額的，應后附《專利估值表》，以一次性買斷的專利費用計算銷售量或銷售額。(例：某專利產品與客戶確定FOB價格，此價格包含1美元的專利費用，而一次買斷的專利費用為10萬美元，那么訂單量的計算為1X10萬=10萬臺。)

　　If Party B promises a target sales amount in a given period ( two years in general), the “Patent Appraisement Table” shall be attached and count the sales quantity or sales amount with the total fee for buying the patent. ( For example: the FOB price quoted include the patent fee of $1, and the total fee for one-off buying the patent is $10,000, so the order quantity shall be as below: 1*100000=100000 units)

　　8，甲方享有專利申請權和專利權的情況，按實際情形選擇將相應的方框涂黑。

　　If Party A owns the ownership of patent application right & patent right, blacken the corresponding squares according to the actual situation.

　　9，乙方享有專利申請權和專利權的情況，按實際情形選擇將相應的方框涂黑。

　　If Party B owns the ownership of patent application right & patent right, blacken the corresponding squares according to the actual situation.

　　10，涉及第三方專利使用權的情況，按實際情形選擇將相應的方框涂黑。

　　For the right of exploitation of patent owned by the third party, blacken the corresponding squares according to the actual situation.

　　11.業務員填寫《專利權屬協議》，提交部門經理審核，分管營銷總經理審批，首席技術工程師批準。

　　The merchandisers fill this “Patent Ownership Agreement” and submit it to the department manager for check, and then this agreement shall be reviewed by the regional general manager and final approved by CTO.
